Terms and Conditions

Acceptance of Terms: These Terms and Conditions (“Terms”) form a legally binding agreement between you (the user, whether an individual or an entity) and Pinewheel Labs Pvt. Ltd. (“Pinewheel,” “we,” “us,” or “our”). By accessing or using the Pinewheel website (currently at pinewheel.ai) or any related services, including the Pinewheel Pentest Copilot platform (“Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms or the Privacy Policy, you must not use our Services and should discontinue use immediately.

Eligibility and Account Registration

You represent that you are at least 18 years old (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into this agreement. The Services are not intended for and should not be used by anyone under 18. If you do not meet this requirement, you must not access or use the Services. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. If you suspect any unauthorized use of your account, you must notify us promptly. We reserve the right to suspend or terminate accounts that violate these Terms or contain false, outdated, or incomplete information.

Subscription Plans and Payment

Pinewheel offers its Services on a subscription basis (e.g. monthly plans). All fees for subscriptions are posted on our website or communicated to you during checkout and must be paid in advance as per the chosen billing cycle. By subscribing, you authorize Pinewheel (or our payment processor) to charge your provided payment method for the recurring subscription fee and any applicable taxes on each renewal until you cancel. All fees are exclusive of taxes, levies, or duties imposed by taxing authorities, and you are responsible for any such taxes applicable to your use of the Services (except for taxes based on our income).

No Refunds

Except as expressly provided in these Terms or required by law, all payments are non-refundable, and there are no credits or refunds for partially used subscription periods. For example, if you cancel your subscription, you will retain access to the Service until the end of the paid billing term, and no prorated refunds will be given for the remaining unused time. We do not offer refunds for subscription fees already paid, unless a refund is required by law or in cases of billing errors on our part (such as duplicate charges), as described in our Cancellation and Refund Policy below. By purchasing a subscription, you agree to these payment terms.

Cancellation

You may cancel your Pinewheel subscription at any time. If you cancel, your account will remain active with full access to the Services until the end of your current billing cycle, after which it will not renew. Cancelling a subscription will stop future billing, but we do not provide refunds or credits for any subscription fees already incurred for the current billing period. Detailed instructions on how to cancel (e.g. via your account settings or by contacting our support) are provided in our Cancellation and Refund Policy page. Pinewheel reserves the right to suspend or terminate your access to the Services if you violate these Terms or if payment cannot be processed, in accordance with the “Termination” section of these Terms.

Permitted Use of Services

Pinewheel’s Pentest Copilot is an offensive cybersecurity automation platform intended to help you identify security vulnerabilities in your own systems or in systems you are authorized to test. You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations. By using our platform, you represent and warrant that you are the owner of, or have the necessary legal authority to conduct penetration testing on, any target systems, applications, or networks that you test with our Service.

Prohibited Activities

• Testing Unauthorized Systems: You may not submit any website, application, network or system for penetration testing using our Services if you do not have proper authorization to test it. In other words, do not use Pinewheel to attack or probe any third-party system for which you lack explicit permission. Using our platform to engage in unauthorized security testing (or “hacking”) of systems that you do not own or control is a serious violation of these Terms and may be unlawful.
• Malicious or Illegal Use: You must not use the Services to engage in any malicious activity, unlawful act, or conduct that harasses, abuses, or harms others or the integrity of any systems. This includes not transmitting any malware, viruses, worms, or harmful code through our platform.
• Interference with Others: You may not use Pinewheel in a manner that could damage, disable, overburden, or impair our infrastructure or networks, or interfere with any other party’s use of the Services. Attempting to gain unauthorized access to any servers, accounts, or data on the Pinewheel platform or associated networks (e.g., by hacking or password mining) is strictly prohibited. Similarly, you must not use our Services to improperly interfere with or degrade the performance of any third-party website, server, or network beyond what is authorized for legitimate testing.
• Circumventing Security or Restrictions: You will not attempt to bypass or undermine any security measures or access controls of the Service. This also means you must not reverse-engineer, decompile, or otherwise tamper with any part of Pinewheel’s software or systems, except as allowed by law.
• Prohibited Data: Unless explicitly permitted by us, you should not input or transfer any personal data that is not necessary for the operation of the Service, especially personal data from outside your jurisdiction in violation of privacy laws. Our platform is designed to test security using data you provide or that is publicly available; do not use it to exfiltrate or store sensitive personal information unlawfully.

Pinewheel reserves the right to investigate and take appropriate action (including suspension or termination of accounts) against any misuse of the Services. By using Pinewheel, you agree that any security testing will be conducted on systems for which you have legal permission, and you assume full responsibility for the scope and consequences of such testing. We may immediately suspend or terminate your access without notice if we determine you have violated the above rules or any laws in connection with your use of the Services.

Intellectual Property Rights

All content and materials available on the Pinewheel website and Services, including but not limited to software, algorithms, text, logos, graphics, videos, designs, trademarks, and trade names, are the property of Pinewheel or its licensors and are protected by intellectual property laws. Pinewheel grants you a limited, non-exclusive, non-transferable license to access and use the platform and its content for your internal business or personal use in accordance with these Terms. You do not acquire any ownership interest in our software or content by using the Services. You may not copy, reproduce, modify, distribute, or create derivative works from our content or software, except as expressly permitted by Pinewheel or by law. Any feedback or suggestions you provide to Pinewheel regarding our Services may be used by us without obligation or compensation to you, and you hereby license any such feedback to us royalty-free. All rights not expressly granted to you in these Terms are reserved by Pinewheel.

User Data and Privacy

You retain all rights to any data or content you input into the Service or any results generated from your use of the Service that are specific to your systems (“Your Data”). Pinewheel does not claim ownership of Your Data. However, by using the Service, you grant Pinewheel a worldwide, royalty-free license to host, store, transmit, and process Your Data for the purpose of providing the Service to you and improving the Service’s features (in accordance with our Privacy Policy). You are solely responsible for ensuring that Your Data and your use of the Service (including any penetration testing activities) comply with applicable laws, including privacy and data protection regulations. Pinewheel will maintain appropriate administrative, physical, and technical safeguards to protect Your Data as described in our Privacy Policy. Please review our Privacy Policy for details on how we collect and use information. By using the Services, you also consent to the collection and processing of information as described in the Privacy Policy.

Disclaimer of Warranties

The Pinewheel Services, including all content, functionality, and reports provided through the platform, are provided on an “as is” and “as available” basis. Pinewheel makes no warranties or representations of any kind – express, implied, or statutory – regarding the Services. This means we do not guarantee that the platform will find every vulnerability in your systems, that it will operate uninterrupted or error-free, or that it will meet your specific needs. Your use of the Services is at your own risk. To the fullest extent permitted by applicable law, we disclaim all warranties, whether express or implied, including (but not limited to) implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. Pinewheel does not warrant that the results of the Service (such as security test results or reports) are complete or 100% accurate, or that using the Service will make your systems completely secure. You acknowledge that penetration testing, by its nature, carries some risk (for example, it may, in rare cases, cause performance issues on the systems being tested) and you agree that you assume all such risks when using the Service for security testing of your assets. We also do not warrant that our website or delivered content is free of viruses or other harmful components.

Limitation of Liability

To the maximum extent permitted by law, Pinewheel will not be liable to you for any indirect, incidental, special, consequential, or punitive damages whatsoever arising out of or related to your use of (or inability to use) the Services. This exclusion includes any loss of profits, loss of data, business interruption, damage to equipment, or other commercial or economic losses, even if we have been advised of the possibility of such damages. You agree that your sole remedy for dissatisfaction with the Service is to stop using the Service or terminate your subscription. Furthermore, in no event will Pinewheel’s total cumulative liability to you for all claims arising under or relating to these Terms or the Services exceed the amount you paid Pinewheel in subscription fees in the 12 months immediately preceding the event giving rise to the claim. If you have not paid any amount (for example, if you are using a free service or trial), Pinewheel’s total liability shall be zero, to the extent allowable under law. Nothing in these Terms is intended to limit or exclude liability that cannot be limited by law (for example, certain statutory warranties or liabilities that cannot be excluded under applicable law).

Indemnification

You agree to indemnify and hold harmless Pinewheel, its parent company, affiliates, officers, directors, employees, agents, and partners from and against any and all losses, liabilities, claims, demands, damages, expenses, or costs (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services (including any actions taken by your employees or agents using your account); (b) your violation of these Terms or of any law or regulation; or (c) your infringement of any intellectual property or other rights of any third party. In particular, if you use Pinewheel to conduct unauthorized or illegal activities (for example, testing systems without permission or violating any of the “Permitted Use” rules above), you agree to indemnify us for any and all consequences, losses or damages that Pinewheel suffers as a result of your actions. Pinewheel reserves the right to assume the defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense strategy.

Termination

Either you or Pinewheel may terminate this agreement at any time. You are free to stop using the Services and close your account at any time (though closing your account does not entitle you to any refund of prepaid fees, as noted above). We also reserve the right to terminate or suspend your access to the Services, with or without notice, if you breach these Terms or if we reasonably suspect that you are using the Services in a manner that could cause us legal liability or disrupt others’ use of the platform. In the event of termination by us for violation of Terms, you understand that you may lose access to any data or content associated with your account, and Pinewheel may delete such data in accordance with our data retention policies. Provisions of these Terms that by their nature should survive termination (such as indemnification, limitation of liability, disclaimers, and governing law) will remain in effect after termination.

Changes to Terms

Pinewheel may modify or update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on our website and updating the “Last updated” date at the top, or by other means such as email notification, where appropriate. It is your responsibility to review these Terms periodically. By continuing to use the Services after any revisions become effective, you agree to be bound by the updated Terms. If you do not agree to the revised Terms, you must stop using our Services.

Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to these Terms or the Services will be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal action or proceeding relating to your access to or use of the Services shall be instituted exclusively in the courts of competent jurisdiction located in India (unless otherwise required by applicable law for consumer protection or similar). By using the Services, you agree to submit to the jurisdiction of such courts and waive any objections to venue in those courts. However, Pinewheel may seek injunctive or equitable relief in any jurisdiction to protect its intellectual property or confidential information.

International Use

Pinewheel makes no representation that the Services are appropriate or available in all locations, and accessing the Services from territories where the content is illegal is prohibited. If you access the Services from outside India, you do so on your own initiative and are responsible for compliance with local laws.

Miscellaneous

These Terms (together with the Privacy Policy and any other policies or guidelines we reference) constitute the entire agreement between you and Pinewheel regarding your use of the Services, superseding any prior agreements. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable from the Terms and will not affect the validity of the remaining provisions. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent; any attempt to do so without consent is void. Pinewheel may freely assign these Terms as part of a merger, acquisition, or sale of assets, or by operation of law. These Terms do not create any agency, partnership, joint venture, or employment relationship between you and us.
